Acquisition of Alinta Energy

Sembcorp Industries has entered into a share sale agreement to acquire Alinta Energy and its group of companies. Alinta is one of Australia’s leading integrated energy companies. This strategic acquisition marks Sembcorp’s entry into an AAA-rated country with strong fundamentals and significant growth opportunities.

 

Key Highlights of the Acquisition:

  • Strategic Entry into Australia: Australia is an AAA-rated OECD country with supportive energy transition policies and a legislated 2050 net-zero goal.

  • Alinta - Integrated Energy Player: Alinta operates 3.4GW of installed and contracted generation capacity across coal, gas, wind, and solar and serves almost 1.1 million customers nationwide. In addition, Alinta offers access to 10.4GW of potential development pipeline in Australia comprising renewables and firming systems – providing Sembcorp with a scalable platform for long-term growth and energy transition.

  • Immediate Earnings Accretion: The acquisition is expected to be earnings accretive upon completion, adding meaningful scale and diversification to Sembcorp’s portfolio.

  • Committed to an Orderly and Inclusive Energy Transition: Sembcorp recognises the role Loy Yang B plays in supporting the Victoria state’s power demand and grid, before growth in renewables and firming technology replaces it. Sembcorp will work constructively with government, industry, and communities to ensure a balanced and inclusive transition that meets national and stakeholder needs. We will do so via the execution of Alinta’s 10.4GW pipeline of renewables and firming technological pipeline.

 

The acquisition was approved by shareholders at the EGM on January 30, 2026. Subject to regulatory approvals and other customary closing conditions, the transaction is expected to complete in the first half of 2026.
